1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Floges Software Solutions (P) Ltd. ("VisePage," "we," "us," or "our"), the company that operates the VisePage platform at visepage.com.

By creating an account, accessing, or using VisePage in any way, you agree to be bound by these Terms, our Privacy Policy, and our Cancellation & Refund Policy. If you do not agree to any part of these Terms, you must not use the service.

You must be at least 18 years of age to use VisePage. By using the service, you represent that you meet this age requirement.

2. What VisePage Provides

VisePage is a website builder designed for consultants, fractional executives, coaches, and professionals who sell expertise. The service allows you to:

  • Import your LinkedIn profile data to automatically generate a professional website.
  • Customize your website with templates, content sections, and your own text, images, and media.
  • Publish your website on a VisePage subdomain (yourname.vise.page) or connect a custom domain.
  • Access analytics, SEO tools, and other features based on your subscription plan.

We reserve the right to modify, improve, or discontinue features of the service at any time. We will provide reasonable notice before making changes that materially affect your use of the service.

3. Your Account

3.1 Registration

To use VisePage, you must create an account with accurate and complete information. You agree to keep your account information up to date. Providing false or misleading information may result in account suspension or termination.

3.2 Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you suspect unauthorized access to your account, notify us immediately at [email protected]. We are not liable for losses resulting from unauthorized account use caused by your failure to safeguard your credentials.

3.3 One account per person

Each account is for a single individual. You may not create multiple accounts to circumvent plan limits, abuse promotions, or evade account actions. We reserve the right to merge or remove duplicate accounts.

4. Payments & Subscriptions

4.1 Merchant of Record

All payments for VisePage are processed by Dodo Payments, which acts as our Merchant of Record. When you subscribe, you are purchasing through Dodo Payments, which handles payment processing, billing, tax collection, and compliance. Dodo Payments' terms and privacy policy apply to your payment transaction in addition to these Terms.

4.2 Pricing and billing

Subscription pricing is displayed on our website at the time of purchase. All prices are inclusive of applicable taxes, which are calculated and collected by Dodo Payments based on your location. Subscriptions are billed on a recurring monthly or annual basis depending on the plan you choose.

4.3 Automatic renewal

Your subscription renews automatically at the end of each billing cycle unless you cancel before the renewal date. We send a reminder email before each renewal. You can view your renewal date and manage your subscription in Settings → Subscription.

4.4 Price changes

We may change subscription pricing from time to time. Any price change will take effect at the start of your next billing cycle after the change. We will notify you by email at least 30 days before any price increase. If you do not agree with the new pricing, you may cancel your subscription before the change takes effect.

4.5 Cancellations and refunds

Cancellations and refunds are governed by our Cancellation & Refund Policy, which forms part of these Terms.

5. Content Ownership & License

5.1 Your content

You retain full ownership of all content you create, upload, or import into VisePage, including text, images, case studies, testimonials, and any other materials ("Your Content"). We do not claim any ownership rights over Your Content.

5.2 License you grant us

By publishing content through VisePage, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute Your Content solely for the purpose of operating and providing the VisePage service. This license exists only for as long as your account is active and your content remains on the platform. When you delete content or close your account, this license terminates.

5.3 Responsibility for your content

You are solely responsible for Your Content. By publishing content through VisePage, you represent and warrant that:

  • You own the content or have the necessary rights and permissions to use and publish it.
  • The content does not infringe on the intellectual property rights, privacy rights, or any other rights of any third party.
  • Testimonials and client references you display are genuine and published with the knowledge of the individuals quoted.
  • The content is accurate and not misleading, particularly regarding your professional qualifications, experience, and services.

5.4 VisePage's intellectual property

The VisePage platform — including its name, logo, website templates, design elements, code, documentation, and all other proprietary materials — is owned by Floges Software Solutions (P) Ltd. and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use our templates and platform features for your personal professional website. You may not copy, modify, distribute, sell, or create derivative works from VisePage's templates, code, or design assets for any purpose outside of building your own VisePage website.

6. Acceptable Use

VisePage is designed for professionals to build and host legitimate business websites. By using the service, you agree not to:

6.1 Prohibited content

  • Publish content that is defamatory, fraudulent, misleading, or deceptive.
  • Publish content that infringes on any third party's intellectual property, trademark, or copyright.
  • Publish sexually explicit, violent, hateful, or discriminatory content.
  • Publish content that promotes illegal activities or substances.
  • Impersonate another person or misrepresent your identity, qualifications, or affiliation.
  • Use fake testimonials, fabricated case studies, or misleading credentials.

6.2 Prohibited conduct

  • Use VisePage for spam, phishing, malware distribution, or any form of abuse.
  • Attempt to access other users' accounts, data, or private information.
  • Reverse-engineer, decompile, or attempt to extract source code from the VisePage platform.
  • Use automated tools (bots, scrapers) to access the service in an unauthorized manner.
  • Resell, sublicense, or redistribute VisePage's service or templates to third parties.
  • Interfere with or disrupt the integrity or performance of the service.

We reserve the right to remove content and suspend or terminate accounts that violate these rules, with or without prior notice depending on the severity of the violation.

7. Third-Party Services & Integrations

VisePage may allow you to integrate or link to third-party services such as LinkedIn, Calendly, analytics services, and other integrations, and others. These integrations are provided for your convenience. We are not responsible for the availability, accuracy, or practices of third-party services.

Your use of third-party services is governed by their respective terms and privacy policies. Any data you share with third-party services through integrations is subject to their policies, not ours. We are not liable for any loss or damage arising from your use of third-party services.

8. Service Availability

We strive to keep VisePage and all published websites available at all times. However, we do not guarantee uninterrupted or error-free service. The service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Unscheduled maintenance to address critical issues
  • Third-party service outages (hosting, DNS, payment providers)
  • Circumstances beyond our reasonable control (force majeure)

We are not liable for any loss of revenue, leads, or business opportunities resulting from service downtime.

9. Disclaimer of Warranties

VisePage is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the service will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy or reliability of any content generated or displayed through the service
  • Warranties that the service will meet your specific business requirements or expectations

We do not guarantee that using VisePage will result in any particular business outcome, including but not limited to client acquisition, lead generation, or revenue growth.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Floges Software Solutions (P) Ltd. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or content
  • Loss of goodwill or reputation
  • Cost of procuring substitute services

regardless of whether such damages arise from contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In any event, our total aggregate liability for all claims arising from or related to your use of VisePage shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Floges Software Solutions (P) Ltd. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of VisePage
  • Your Content or any content you publish through the service
  • Your violation of these Terms
  • Your violation of any third party's rights, including intellectual property or privacy rights
  • Any claims by third parties related to your published website

12. Termination & Suspension

12.1 Termination by you

You may close your account and stop using VisePage at any time by cancelling your subscription and requesting account deletion through your account settings or by emailing [email protected]. Cancellation terms are described in our Cancellation & Refund Policy.

12.2 Termination or suspension by us

We may suspend or terminate your account if:

  • You violate these Terms or any of our policies.
  • You publish prohibited content (see Section 6).
  • Your account is involved in fraudulent or abusive activity.
  • You fail to pay for your subscription after reasonable notice.
  • We are required to do so by law or regulation.

Where possible, we will notify you before suspension or termination and provide an opportunity to resolve the issue. However, in cases of severe violations (fraud, abuse, illegal content), we may act immediately without prior notice.

12.3 Effect of termination

Upon termination of your account:

  • Your published website is taken offline.
  • Your account data is retained for 30 days, after which it is permanently deleted (except where retention is required by law).
  • The content license you granted us (Section 5.2) terminates.
  • Sections of these Terms that by their nature should survive termination will continue to apply, including Sections 5 (Content Ownership), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law).

13. Copyright & Takedown Requests

We respect intellectual property rights. If you believe that content published on a VisePage website infringes your copyright or trademark, please notify us at [email protected] with:

  • A description of the copyrighted or trademarked work you claim has been infringed.
  • The URL of the VisePage website containing the infringing content.
  • Your contact information (name, email, phone).
  • A statement that you have a good-faith belief the use is not authorized by the rights owner.
  • A statement, under penalty of perjury, that the information in your notice is accurate.

We will investigate valid claims and, where appropriate, remove or disable access to the infringing content.

14. Governing Law & Dispute Resolution

14.1 Governing law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

14.2 Dispute resolution

If a dispute arises between you and VisePage, we encourage you to contact us first at [email protected] to seek an informal resolution. Most issues can be resolved quickly through direct communication.

If informal resolution is unsuccessful, any dispute, claim, or controversy arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Kochi (Ernakulam), Kerala, India.

15. General Provisions

15.1 Entire agreement

These Terms, together with the Privacy Policy and Cancellation & Refund Policy, constitute the entire agreement between you and VisePage regarding the use of the service and supersede any prior agreements.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, provided that the assignee agrees to honour these Terms.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes that significantly affect your rights or obligations, we will notify you by email at least 30 days before the changes take effect.

Continued use of VisePage after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the service and cancel your subscription.
